Overview
This highly-interactive course is designed to change all that. Through hands-on activities and context-based learning, participants will work together with each other and with the trainer to demystify and decomplexify common business contracts. Learners will be provided with a foundation in contract law principles and their practical application in day-to-day business transactions. They will also gain valuable insights into the essential elements of contract formation, common contract terms, and how to effectively manage contractual dealings from a commercial and practical perspective.
And given that we now do business in highly digitalised and tech-centric environments, this course will also explore how emerging technologies can affect and augment the way we manage contracts. Participants will learn about how to harness AI (such as ChatGPT) to generate working drafts of common contracts, how contracts can now be executed electronically, the potential applications of blockchain-based smart contracts, and how a shifting focus towards technology and the Internet changes the way we draft and prepare contracts.
By the end of the course, participants will have the knowledge and skills to understand business contracts, confidently navigate contract negotiations, and manage contractual dealings in an increasingly tech-oriented world. They will also be able to increase their productivity and efficiency by using the appropriate solutions and software to manage a contract’s life cycle.
Learning Objectives
At the end of this two-day course, participants will be able to achieve the following learning objectives:
- Identify the essential elements required for the formation of a legally-binding contract and recognize the circumstances under which such contracts, including blockchain-based smart contracts and contracts negotiated and executed electronically, are created.
- Analyze and interpret common clauses found in a variety of contracts; understand their purpose and implications within the contractual context.
- Identify essential contractual terms that are required for businesses engaged in digital, automated, and web based operations such as marketing, selling, data analytics etc.
- Prepare working drafts of contracts and understand/clarify contractual terms using AI such as ChatGPT.
- Recognize the conditions under which contracts can be breached, terminated, or declared void by a court, and evaluate the potential outcomes of such situations.
- Assess the consequences of contractual breaches, including potential remedies and penalties for the parties involved.
- Examine key business contracts, identify critical elements, and develop strategies to protect their interests and mitigate risks during contract negotiation and execution.
- Identify and apply emerging technologies and solutions to enhance the contract management process.
Assessment
As part of the requirement for SkillsFuture Singapore, there will be an assessment conducted at the end of the course. The mode of assessment, which is up to the trainer’s discretion, may be an online quiz, a presentation or based on classroom exercises.
Participants are required to attain a minimum of 75% attendance and pass the associated assessment in order to receive a digital Certificate of Completion issued by Singapore Management University.
